1. CONTRACT BETWEEN YOU AND US

Any person accessing the Website on behalf of any legal entity represents and warrants that such person possesses the requisite authority to legally bind such entity to these Terms.

1.2 By accessing, browsing, navigating, communicating through, interacting with or otherwise using the Website, You expressly acknowledge, agree and confirm that:

(b) You agree to be legally bound by them;

(d) Your use of the Website shall at all times remain in compliance with applicable law.

1.3 Use of the Website is available only to persons capable of entering into legally binding contracts under the Indian Contract Act, 1872 and who are not otherwise disqualified or declared incompetent under applicable law. assistant directors, production personnel, creative professionals, technicians, musicians, composers, artists, crew members, consultants, vendors, business partners, financiers, agencies and persons with creative ideas, concepts, proposals or materials, to contact Sikhya Entertainment or submit communications or materials for general consideration.

2.2 The Website is intended solely for informational, communication and limited interaction purposes and does not constitute an open solicitation, commitment or obligation by Sikhya Entertainment to engage with, evaluate, shortlist, employ, commission, represent, collaborate with or otherwise respond to any person or submission.

2.3 You acknowledge, agree and confirm that nothing on the Website shall constitute or be construed as:

2.4 Any communication, enquiry, request, resume, curriculum vitae, profile, portfolio, photograph, audition material, self-test, showreel, script, screenplay, pitch, proposal, treatment, concept note, deck, musical composition, recording, audiovisual material, literary work, creative material, business proposal, employment enquiry or any other material submitted through the Website, to any email address provided by Sikhya Entertainment, or to Sikhya Entertainment or any of its representatives (“Submitted Materials”) shall be deemed voluntarily submitted by You at Your sole discretion and risk.

2.5 Mere submission of any Submitted Materials shall not create, imply or constitute any shortlisting, casting, employment, engagement, commissioning, acquisition, collaboration, representation, compensation, reimbursement, fiduciary obligation, confidentiality obligation, contractual relationship or acceptance of any proposal by Sikhya Entertainment.

3. UNSOLICITED SUBMISSIONS, CREATIVE MATERIALS AND COMMUNICATIONS

3.1 You acknowledge and agree that all Submitted Materials are voluntarily submitted at Your sole discretion and risk and, unless expressly agreed otherwise pursuant to a separate written agreement executed by authorised representatives of Sikhya Entertainment, no submission shall:

(a) create any obligation on Sikhya Entertainment to review, acknowledge, evaluate, respond to, retain, consider, return, exploit or act upon any Submitted Materials;

(b) create any obligation of confidentiality or restricted use;

(c) entitle You to compensation, reimbursement, fees, royalty, credit, employment, engagement or any form of consideration; or

(d) create any fiduciary, confidential, contractual, advisory, employment, agency, partnership, representation or collaborative relationship.

3.2 Sikhya Entertainment expressly does not accept unsolicited submissions in confidence and shall not be deemed to owe any duty of confidentiality in relation to Submitted Materials unless expressly agreed in writing by authorised representatives of Sikhya Entertainment.

3.3 You acknowledge and agree that Sikhya Entertainment, its affiliates, producers, financiers, employees, contractors, consultants, creative collaborators, agencies and business partners may independently develop, evaluate, commission, finance, acquire, exploit or produce scripts, stories, formats, concepts, performances, casting decisions, musical works, audiovisual materials, creative content, business initiatives and projects. Accordingly, Sikhya Entertainment may presently be developing, or may in the future independently develop, acquire, commission, receive, exploit or engage materials, ideas, concepts, performances, formats, themes, personnel or projects that are identical or substantially similar to any Submitted Materials, and no claim shall arise solely due to such similarity.

3.4 You irrevocably waive, release and discharge Sikhya Entertainment from any claim, demand, liability, action or proceeding arising solely from any alleged similarity between Submitted Materials and any material, project, performance, casting decision, engagement, audiovisual work or initiative independently developed, commissioned, financed, acquired, produced, exploited or undertaken by Sikhya Entertainment.

3.5 You represent and warrant that:

(a) You own or otherwise possess all rights, licences, permissions and authority necessary to submit the Submitted Materials;

(b) the Submitted Materials do not infringe or violate any intellectual property, privacy, publicity, contractual or other third-party rights;

(c) the submission of Submitted Materials does not breach any confidentiality obligation, employment restriction, contractual obligation or applicable law; and

(d) all information submitted by You is truthful, accurate and complete.

3.6 Sikhya Entertainment reserves the unrestricted right, at its sole discretion and without any obligation, liability, notice or communication to You, to reject, disregard, refuse, delete, remove, archive, destroy or cease reviewing any Submitted Materials or communication submitted through the Website, to any email address provided on the Website and/or by Sikhya Entertainment, or to Sikhya Entertainment or any of its representatives, at any time and for any reason whatsoever.

10. INDEMNITY

10.2 Sikhya Entertainment reserves the right, at Your expense, to assume exclusive defence and control of any matter otherwise subject to indemnification and You agree to cooperate fully in relation thereto.

11.1 Without prejudice to Clause 6, You specifically agree that You shall not:
